Job Description and Responsibilities:
The Advisory - Deals practice provides advice and assistance based on financial, analytical, and business process skills to companies, government bodies, and intermediaries to create new value by:
Creating, acquiring, selling, and financing businesses
Deal strategy and operations services
Integrating new or acquired businesses into current operations
Restructuring and realizing value in businesses
Supporting businesses in distressed situations
PwC delivers services through the integration of specialist technical capabilities. Each Deal may comprise a mix of different service needs and the intention of the Deals Edge program is to upskill future talent to work across the Deal cycle.
Key services and specialist areas include:
Transaction Services: A core part of mergers, acquisitions, divestitures, joint ventures, spin-offs, and strategic alliances, PwC performs financial and tax due diligence, vendor due diligence, vendor assistance, and SPA reviews.
Valuations: Business and asset valuations for commercial, transaction, financial reporting, tax, disputes, and regulatory purposes; investment appraisal and resource allocation decision support.
Deal Strategy and Operations: Strategic and operational advice for investment, including target search, market and competition analysis, commercial and operational (HR, IT, operation) evaluation of the Target, business plan review and value creation plan; carve-out plan review and suggestion; post deal services, including first 100-day plan and integration support.
Corporate Finance: As a leading Financial Advisor, assisting clients in looking for investors or target companies in line with Clients' strategy, providing advisory services to assist clients execute deals efficiently by taking into consideration deal pricing, deal structuring, key deal terms, negotiations, and PMO.
Business Recovery Services: Early diagnosis and preservation of value, special situations, liquidations and receiverships, debt restructuring, advice to bondholder groups and stakeholders in optimizing their exit from investments. Tackling financial under-performance to improve returns to businesses and stakeholders; hands-on help with turnarounds and cashflow management; advice to lenders; advice on exit strategies; insolvency.
